Terms of Service

These terms govern any consulting, website, SEO, or sales engagement between Phase 4 Consulting (“Phase 4,” “we,” “us”) and a client (“you”). By booking a consultation or signing a proposal with us, you agree to the terms below.
Engagement scope
Every engagement is scoped individually — there's no fixed price list. Scope, deliverables, timeline, and price are agreed in writing (a proposal or statement of work) before any paid work begins. Nothing on this site or on a free consultation call is a binding offer until that scope is confirmed.
Payment
Website builds are billed as a flat, one-time fee; hosting (if you host with us) is billed separately as an ongoing monthly charge. Ongoing services — SEO & AI search optimization, Fractional VP of Sales — are billed monthly. Final payment for a scoped project is due when the agreed scope of work is complete.
Ownership & intellectual property
You own the website we build for you — full source code and files, transferable to any developer or host, with no ongoing obligation to us. The only restriction: that code may not be resold as a standalone product to other clients. Pre-existing tools, templates, or internal frameworks we use to build it remain ours.
Revisions after launch
If you're not hosted with us, you get two weeks after launch to request revisions within the original scope. If you are hosted with us, small text edits and maintenance (up to 15 minutes) are included on an ongoing basis. Work beyond either of these is scoped and billed separately.
No guaranteed results
SEO and AI search optimization are ongoing, compounding processes — we don't guarantee specific rankings, traffic, or revenue outcomes, and typical results take 3–6 months to show. We don't take on recovery of sites already penalized by Google. Business and sales consulting recommendations are advisory; you're responsible for decisions made in your business.
Cancellation
Either party may end an ongoing engagement (SEO, Fractional VP of Sales) with written notice per the terms in your specific proposal. Work already performed and any costs already incurred on your behalf are due regardless of cancellation.
Limitation of liability
Phase 4's total liability for any engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, to the fullest extent permitted by law.
Governing law
These terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.
Changes to these terms
We may update these Terms of Service from time to time. When we do, we'll revise the “Last updated” date above. For an active engagement, the terms in your signed proposal control over any later change to this page.
